Recently, our firm has undergone an extensive rebranding process, the result of which we are proud of and present with joy: Suciu Popa becomes Suciu Partners, in order to highlight the values that defined us from the very beginning and which have been distilled together over the 8 years of our firm’s existence:
true partnership and unwavering dedication, contributed by each of us, for the benefit of the legal services market and our clients, whom we serve moment by moment, hour by hour, 365 days a year.

On this occasion, founding partners Cleopatra Leahu and Dan Ciobanu are taking on the role of Deputy Managing Partners, alongside Miruna Suciu, Managing Partner, to significantly contribute to further supporting the management team and the firm’s development plans for the coming years.

Mihai Cărăgui, Partner of the firm and one of the longest-serving members of our team, will take over the leadership of the integrated Corporate and Advisory departments, which encompasses all non-litigation practice areas.

At the same time, Radu Chiran, Partner in the Litigation & Arbitration practices and a professional with a significant experience in the firm, will assume the coordination of these departments, which currently include over 12 professionals.

The firm’s partnership is expanding with the promotion of our colleague Noemi Șiman to Partner, thus completing the ranks of highly talented and experienced lawyers leading the practices in Energy and Natural Resources, Real Estate, and Competition/Foreign Direct Investments (FDI).

Additionally, the Labor Law and Litigation teams are expanding with the addition of Daliana Popa and Mihai Eduard Gîngu, two experienced, enthusiastic, and creative lawyers who will actively support our teams in these practice areas.

Our colleague Radu Petroi is taking on the role of Counsel within the firm, continuing his coordination of the Competition/Antitrust area, as well as his significant involvement over the past years to the Litigation & Arbitration and Energy & Natural Resources areas, where his contribution has been pivotal to the firm’s success.

Furthermore, our colleague Roxana Ioncu is taking on the role of Counsel, contributing further to the development of the Banking & Finance/Capital Markets and Corporate & Commercial areas of the firm, as well as to the overall business development strategy, including identification and integration of resources and dedicated technology to support the firm’s digitalization plans.

In the Dispute Resolution and White Collar practices, Paul Mănăila is promoted to Managing Associate, after 5 years of sustained activity in the firm with notable results in civil, commercial, and criminal litigation and proceedings.

With an extensive activity in Infrastructure, PPP, and Public Procurement, Environment, and Energy & Natural Resources, Gianina Istrate is stepping up to become Managing Associate, coordinating complex mandates in industries such as Oil & Gas, Automotive, Mining, and Renewable Energy.

We are also expanding our Administrative and Fiscal Litigation team by bringing on board Andrei Ivan, a lawyer with experience in litigation, corporate law and public law.

Last but not least, we wish success to our colleague Luminița Popa, who has been with us since the firm's inception and who has decided to dedicate herself primarily to developing her career as an arbitrator.

Suciu Popa secures major win for Libra Internet Bank

The solution obtained by our team clarifies a current issue in the practice of Romanian courts, as it establishes that the creditor’s request for validation of the pledge against the bank where the Revolut accounts were opened cannot be granted.

In its decision, the court upheld the arguments put forward by Suciu Popa, according to which, in the absence of a legal relationship between Libra Internet Bank and Revolut customers, the bank cannot be considered a third-party defendant in relation to them, and therefore the accounts opened cannot be attached.

The solution obtained by Suciu Popa’s team, which correctly regulates this matter and penalizes the exceeding of the legal framework in which the attachment takes place, marks a return to normality and ensures the future security and predictability of banking activity in relation to customers.

Suciu Popa has successfully assisted E-Distributie Banat in a corporate dispute further to E-Distributie Banat’ share capital increase with the value of the land plots historically included in the certificates of ownership issued by the Romanian State.

Suciu Popa assisted Romgaz in the acquisition from ExxonMobil of the entire stake held in Neptun Deep offshore project

Suciu Popa has successfully assisted SNGN ROMGAZ SA, the largest natural gas producer and the main supplier of gas in Romania, on the acquisition of the entity owning an interest of 50% in the Neptun Deep offshore block in the Black Sea from the American oil giant ExxonMobil. The assistance provided by Suciu Popa covered the full spectrum of the Romanian law aspects pertaining to the transaction, and included, among others, conducting an extensive legal due-diligence analysis on the target company and its assets, as well as key regulatory issues.

The transaction has been managed by Suciu Popa with the help of a multidisciplinary team of lawyers specialized in mergers & acquisitions, energy and natural resources (with a particular focus on aspects specific to oil & gas projects), environmental and permitting issues, concessions, competition, labour and regulatory issues.

Suciu Popa has successfully represented Enel Green Power Romania, one of the leading producers of renewable energy, in a case concerning the suspension of the effects of Order No. 64⁄2022 of the President of the National Agency for Fiscal Administration.

The Order no. 64⁄2022 regulates the manner of declaring the tax on the additional income realized by the electricity producers as a result of the difference between the average monthly selling price of electricity and the price of 450 lei/MWh, as well as the model and content of the form to be used for declaring this tax, but this normative administrative act does not contain elements on the application of this tax, as required by the primary legislation (i.e., Law No. 259⁄2021).

Suciu Popa assisted Ford in the transfer of ownership of the Romanian plant to Ford Otosan

Suciu Popa team has successfully assisted Ford Motor Company in the sale of its Craiova assembly plant situated in southern Romania to its strategic partner Ford Otosan.

According to Ford, “through the transfer of ownership, the Craiova plant will benefit from a wide network of skills and know-how transfer through the vast experience of the Ford Otosan team in the design, development, and construction of commercial and electric vehicles.”

The transaction is expected to close by the third quarter of 2022.

Suciu Popa litigation team has secured a new success in labor law matters

Suciu Popa has successfully represented a key player in the construction and infrastructure industry in a dispute concerning the payment of the delegation allowances requested by the top management representatives.

Following its final decision, the court clarified a frequently encountered issue regarding the nature of the work delegation and stated that the employees’ activity was not conducted under the delegation regime considering that the employer’s domain requested for certain activities to be permanently conducted on different project sites.

Suciu Popa secures a major win in a dispute over the annulment of a resolution of the general meeting of shareholders of a listed company approving the filing of liability actions against some of the company’s directors. The resolution belongs to one of the five financial investment companies in Romania.

The solution obtained by Suciu Popa is important and sets a useful precedent in the field of company law disputes, as it confirms that the votes of shareholders who abstained at the meeting must be taken into account when determining the majority by which resolutions of the Ordinary General Meeting of Shareholders may be adopted pursuant to Article 112 of Law No. 31⁄1990.l, otherwise the resolutions adopted are illegal.

Suciu Popa secures a new milestone in favor of a major player in rail transport field

21 July 2021

Suciu Popa successfully represented Grup Feroviar Roman SA (GFR), one of the most prominent rail freight carriers in Romania and one of the regional market leaders, in a major commercial dispute against a debt collection company.

The dispute focused on the effects of the promissory notes in the context of replacing the former guarantor and the potential termination of such securities.

Following the full admission of the statement of claim on behalf of GFR, the court of law confirmed the cessation of the promissory notes’ effects and ordered the full reimbursement of the amounts unduly collected under the aforementioned securities.

As a result of this decision, the court awarded a valuable clarification on guarantees’ matters and confirmed the arguments raised by Suciu Popa according to which the autonomy of a guarantee is not absolute, but must be analyzed in relation with the parties’ intention.

Suciu Popa secured yet another successful award for the Italian global energy company Enel in an ICC arbitration against the Romanian State, in Paris, arising out of a privatization contract, with value in excess of EUR 130 million.

SAPE, a management company for state-owned stakes in energy companies coordinated by the Ministry of Energy, claimed the distribution of the profits retained until 2017 pertaining to Enel Distributie Muntenia and Enel Energie Muntenia. In its ruling, the Arbitral Tribunal dismissed entirely all SAPE’s claims.

Suciu Popa irrevocably wins a complex labour class action for Hidroelectrica

Suciu Popa successfully represented Hidroelectrica S.A, in a complex labour class action initiated by 3,000 employees concerning rights claimed under the collective bargaining agreement (CBA).

By this decision, the Bucharest Court of Appeal sets an important precedent in the matter of the CBA clauses regarding certain benefits. The award obtained by Suciu Popa is noteworthy both in terms of value of the dispute and of setting a precedent, being clarified that, under collective bargaining agreements, the employees gain a general entitlement to the payment of a specific benefit and not a receivable against the employer.

Suciu Popa & Associates assisted Black Sea Oil & Gas S.R.L. in signing the Gas Sales Agreement (“GSA”) with ENGIE through its subsidiary Engie Energy Management Romania S.R.L. (“Engie”) for natural gas supply from the Midia Gas Development Project (“MGD”).

Under this agreement, which is subject to Final Investment Decision, ENGIE will purchase gas from the Ana and Doina gas reservoirs over a minimum period of 10 years in compliance with Romanian law. Expected contractual volumes at project completion represent 0,5 bcm per year.

Suciu Popa wins the Award for the Largest Deal in Energy

Suciu Popa advises Mazarine Energy Romania

Suciu Popa assisted Mazarine Energy Romania, an oil and gas production and exploration company backed by the private equity fund Carlyle International Energy Partners, in restructuring and completing the acquisition of 19 onshore oil fields and related assets, lands, workover rigs and associated crews from OMV Petrom SA.

The team involved in the project included Partners Miruna Suciu, Cleopatra Leahu and Dan Ciobanu, along with Managing Associates Crina Ciobanu and Andrei Georgescu.

The complexity of the mandate came from the inherent elements of an asset deal of such a magnitude, which are related to the more formalistic conditions for the transfer of ownership (in this case, hundreds of lands and fixed assets), obtaining the approvals from the regulatory authorities on the transfer and operation of specific assets (such as distribution networks and power generation units), the transfer of environmental permits and compliance with the TUPE regulations for a large number of employees.

IFLR1000 Energy and Infrastructure Deal Report 2017 has just been released and Suciu Popa is mentioned as counsel for an important project in the oil & gas field: Midia Gas Development Project. The project, which is the first of this type in Romania after the communist period, consists of the development of natural gas discoveries in the Black Sea, permitting and construction of offshore platforms and production wells, a 121 km offshore and 4 km onshore transmission pipeline, a gas treatment plant and a 25-km pipeline to tie with the National Gas Transmission System, requiring an estimated investment of approx. USD 500 million.

Suciu Popa assists Enel in finalizing the acquisition of a 13.6% share stake of E-Distributie Muntenia and Enel Energie Muntenia

Suciu Popa advised Enel Investment Holding B.V. in finalizing the acquisition of 13.6% of the share capital of E-Distributie Muntenia S.A. and Enel Energie Muntenia S.A., which increased Enel’s interest in the two companies to 78%.

The acquisition of the additional 13.6% share stake from SAPE SA, for a total consideration of about 400 million euros, is a consequence of the exercise of a put option in November 2012. With the exercise of the put option, SAPE had asked for a price of more than 520 million euros, amount which was contested by Enel. After failing to reach an agreement, in 2014 SAPE began arbitration proceeding before the International Chamber of Commerce in Paris, in which it lodged a claim for over 580 million euros. The Arbitral Tribunal set the purchase price for the equity interests involved in the put option at about 400 million euros, reducing the amount requested by SAPE by more than 100 million euros and dismissing the request for interest.

Throughout this transaction, Enel was assisted by a Suciu Popa legal team coordinated by Miruna Suciu and Luminita Popa (Managing Partners).

Suciu Popa advises SABMiller in the sale of its Romanian business, as part of a EUR 7.3 billion deal

Suciu Popa advised SABMiller Limited in relation to the sale of its beer business in Romania to Asahi Breweries Europe Ltd, a subsidiary of the global beer, spirits, soft drinks and food company Asahi Group Holdings based in Tokyo, Japan. The transaction is part of the commitments towards the competition authorities to divest Central and East European activity, within the USD 100 billion-plus merger combining the world’s two leading beer companies, SABMiller and Anheuser-Busch InBev. The deal includes SABMiller’s businesses in Romania, Czech Republic, Slovak Republic, Poland and Hungary, with a value of EUR 7.3 billion.

Suciu Popa wins for Enel the largest arbitration on the Romanian market

Suciu Popa is proud to announce that it secured a fully successful award for Enel Investment Holding in a highly complex ICC arbitration arising out of a privatization contract, involving claims in excess of USD 1.2 billion brought by the Romanian government.
